Terms of Service – RightAway.ai

1. Grant of License

RightAway.ai grants you a non-exclusive, non-sublicensable, non-assignable, royalty-free, and worldwide license to access and use the RightAway.ai platform (the "Service") solely for your business operations.

2. Subscription Fees

You shall pay RightAway.ai a subscription fee (the "Subscription Fee") for the Service. All payments are final and non-refundable. The Subscription Fee shall be paid within 5 business days from the date of the invoice.

3. Service Levels

RightAway.ai shall provide the Service with a Service Availability of at least 99.9% during the Subscription Term. Scheduled maintenance will not count against Service Availability.

4. Privacy

We value your privacy. Please review our Privacy Policy, which governs your use of the Site and Services.

5. Data Privacy

RightAway.ai's Data Processing Agreement is a separate document and part of this agreement.

6. Representations

Both parties represent that they are validly existing under applicable laws and have the authority to enter this agreement.

7. User Obligations

You are responsible for obtaining necessary hardware, implementing security measures, and complying with applicable laws.

8. Restricted Uses

Modify, disassemble, decompile, or reverse engineer the Service
Access other clients' data
Maliciously impair the Service
Use the Service for unlawful purposes

9. Confidentiality

Both parties agree to maintain the confidentiality of the other's information and use it only as set forth in this agreement.

10. Intellectual Property Rights

Each party retains its own intellectual property rights. No rights or interests are granted to the other party without explicit consent.

11. Subscription Term

This Agreement begins on the Effective Date and continues for the Subscription Period unless terminated earlier.

12. Termination

Termination on Notice: You may terminate this agreement with 7 business days' notice.

Termination for Breach: Either party may terminate this agreement if the other fails to cure a breach within 30 days of notice.

Termination for Non-payment: RightAway.ai may terminate this agreement immediately if payment is not received within 7 business days of notice.

13. Effect of Termination

Upon termination, you must pay all outstanding amounts and cease using the Service. You will have 30 days to retrieve your data.

14. Limited Warranty

RightAway.ai warrants that the Service will operate substantially as described. If not, RightAway.ai will correct the issue or terminate the agreement with a refund for the unused period.

15. Indemnification

Indemnification by RightAway.ai: RightAway.ai will indemnify you against claims that the Service infringes on third-party intellectual property rights.

Mutual Indemnification: Each party will indemnify the other against losses from gross negligence or willful misconduct.

16. Exclusive Remedy

Indemnification is the exclusive remedy for claims related to this agreement.

17. Limitation on Liability

Maximum Liability: RightAway.ai's liability is limited to fees paid in the preceding subscription.

18. Definitions

Authorized Users: Individuals authorized to use the Service.
Subscription Plan: The service plan you agreed upon with RightAway.ai.
Effective Date: The date you begin using the Service.
Key Components: Functionalities of the admin console and chat widget.

19. General Provisions

Governing Law: This agreement is governed by the laws of India.
Entire Agreement: This agreement constitutes the entire agreement between the parties.
Force Majeure: Neither party is liable for delays caused by forces beyond their control.
